Anguilla LLC Formation

Everything you need to know about the Anguilla Limited Liability Company — the most popular offshore structure in the territory.

The Anguilla Limited Liability Company (LLC) is one of the most flexible and privacy-friendly offshore structures available today. Governed by Anguilla’s Limited Liability Companies Act, it combines the liability protection of a corporation with the operational flexibility of a partnership.

What Is an Anguilla LLC?

An Anguilla LLC is a legal entity formed under Anguillian law that provides its members (owners) with limited liability protection while offering flexibility in how the company is managed and how profits are distributed.

Unlike a traditional corporation, an Anguilla LLC is not required to hold annual general meetings, maintain a board of directors, or distribute profits proportionally to ownership interests. This makes it highly adaptable to a wide range of business purposes.

Why Choose Anguilla LLC Formation?

Privacy

The Anguilla LLC does not appear on any public register of members. The identity of LLC members is held by the registered agent and is not publicly searchable. This is a significant advantage for those who value ownership privacy.

Zero Tax

An Anguilla LLC that conducts its business outside of Anguilla is not subject to:

  • Corporate income tax
  • Capital gains tax
  • Withholding tax
  • Stamp duty on share transfers

No Minimum Capital

There is no minimum paid-up capital requirement for forming an Anguilla LLC. You can begin operations immediately after registration with whatever capitalisation suits your business.

Flexible Management

An Anguilla LLC can be:

  • Member-managed — all members participate in running the business
  • Manager-managed — one or more appointed managers (who need not be members) run the company on behalf of members

Single Member LLCs

Anguilla permits single-member LLCs, meaning one individual or one company can be the sole member. This is useful for holding structures, trading vehicles, and sole-practitioner businesses.

Anguilla LLC Formation: The Process

1. Draft the Articles of Organization

The Articles of Organization is the founding document of an Anguilla LLC. It establishes the company’s name, registered agent, and basic governance framework.

While not legally mandatory, an Operating Agreement is strongly recommended. It governs the relationship between members, how profits are distributed, how decisions are made, and what happens if a member wants to exit.

3. Appoint a Registered Agent

All Anguilla LLCs must maintain a licensed registered agent with a physical address in Anguilla. The registered agent files documents with the registry, receives official correspondence, and maintains statutory records.

4. File with ACORN

The Articles of Organization are filed with the Anguilla Commercial Online Registration Network (ACORN) along with the government filing fee.

5. Receive the Certificate of Formation

Once the Registrar approves the filing, a Certificate of Formation is issued. Your Anguilla LLC is now legally formed.

Anguilla LLC Formation Requirements

To form an Anguilla LLC you will need:

  • Company name — Must include “LLC”, “L.L.C.”, or “Limited Liability Company”
  • At least one member — Can be an individual or a legal entity of any nationality
  • A registered agent — Licensed in Anguilla (we provide this)
  • KYC documents — Certified passport copy and proof of address for each member
